Aufgrund einer hohen Nachfrage an unsere Kanzlei im Bereich unterschiedlichster Firmengründungen, Start-Ups, Existenzgründungen, Firmen-Erweiterungen und der richtigen Rechtswahl von Gesellschaften etc., insbesondere im vergangenen "Corona-Krisenjahr" und der voraussichtlich noch länger andauernden erheblichen wirtschaftlichen Veränderungen, haben wir uns dazu entschlossen, verschiedene wählbare Starter- und Gesamtpakete anzubieten, die von der Erstberatung über die laufende Rechtsberatung und Vertretung nach außen sowie alle rechtlichen Fragen in Ihrem Gründungs-bzw. Firmenprozess umfassen und Ihnen dadurch mit unserer Kanzlei einen zuverlässigen und individuellen Ansprechpartner zur Seite zu stellen.

1. Paket: GbR-Gründung 

Sie möchten eine Gesellschaft bürgerlichen Rechts gründen? (kurz GbR). Die Gesellschaft bürgerlichen Rechts ist eine einfache Personengesellschaft (dies bedeutet jeder Gesellschafter haftet mit seinem Privatvermögen) und betrifft insbesondere den Zusammenschluss von Privatpersonen und eignet sich daher ideal für jede einfache Form der Geschäftspartnerschaft, wie dies insbesondere für Kleingewerbetreibende, Praxisgemeinschaften, freie Berufe oder Arbeitsgemeinschaften der Fall sein kann. Da die GbR keinen strengen Formalitäten unterliegt, ist der Gründungsprozess begleitet von Ihrer Kanzlei auch kurzfristig möglich. Von Beginn der Erstberatung an, des GbR-Vertrages, der Gewerbeanmeldung und der Vorbereitung des steuerlichen Erfassungsbogens sowie die kontinuierliche rechtliche Beratung über 12 Monate bieten wir Ihnen bereits für einen speziellen und individuellen Gründerpreis ab 1.490,00 Euro netto zzgl. 19% USt. an.

2. Paket: UG-Gründung

Sie interessieren sich für die Gründung einer Unternehmergesellschaft (UG)? Es handelt sich umgangssprachlich um die "kleine Schwester" der GmbH, da diese als erster Einstieg in eine Gesellschaft durchaus gewählt werden kann, bei geringem Startkapital und beschränkter Haftung. Diese eignet sich insbesondere für kleine Start-Ups als Einstiegsform in das Gesellschaftsrecht, um dann in eine GmbH zu wechseln. Wichtig zu wissen ist bei der haftungsbeschränkten UG, dass die Gewinne nicht in voller Höhe ausgeschüttet werden dürfen. 25 %des Gewinns müssen so lange in eine gesetzliche Rücklage fließen, bis das Mindeststammkapital von 25.000 Euro aufgebracht ist. Eine zeitliche Frist gibt es dafür aber nicht. Wenn die Gesellschaft keine Gewinne erzielt, muss sie auch nichts in die gesetzliche Rücklage einstellen. Der Gesellschaft steht es frei und hat grundsätzlich den Zweck, in eine "normale" GmbH umzufirmieren, es kann jedoch auch Bezeichnung als Unternehmergesellschaft (haftungsbeschränkt) beibehalten werden. Wir bieten Ihnen hier von Beginn an mit der rechtlichen Erstberatung über die kontinuierliche Rechtsberatung über 12 Monate, der Erstellung und Wahl der Satzung, der Vorbereitung des Notartermins, der Vorbereitung des steuerlichen Erfassungsbogens sowie der Gewerbeanmeldung und Beantwortung Ihrer rechtlichen Anliegen das Gesamtpaket von 1.690,00 EUR netto zzgl. 19% USt. an.

3. Paket: GmbH und GmbH & Co.KG-Gründung

Sie haben sich für die Gesellschaftsform der GmbH, Gesellschaft mit beschränkter Haftung entschieden? Es handelt sich hierbei um eine der häufigsten und beliebtesten Firmen-Formen. Die GmbH ist eine Kapitalgesellschaft, die geeignet ist, wenn die Gesellschaft ihre eigene Haftung beschränken wollen. Eine 1-Mann-GmbH unterliegt den gleichen Anforderungen und Kriterien wie die GmbH mehrerer Gesellschafter, einer "normalen" GmbH. Die Gesellschafter selbst haften grundsätzlich nicht mit ihrem privaten Vermögen, allerdings gibt es auch hier Ausnahmen. Sie haften zusätzlich mit ihrem Privatvermögen bei persönlichen Krediten oder Bürgschaften, auch bei Verstößen gegen die strengen Regeln über das GmbH-Kapital sowie bei der so genannten Durchgriffshaftung, also bei bestimmten Schadenersatzansprüchen. Gerne begleiten wir Sie von der rechtlichen Erstberatung, über die Erstellung und Ausfertigung des Gesellschaftsvertrages, der Vereinbarung des Notartermins sowie der Korrespondenz zur steuerlichen Erfassung und der Gewerbeanmeldung, als auch der dauerhaften rechtlichen Beratung und und Klärung bis zu 12 Monate und flexibel darüber hinaus für ein individuelles Gesamtpaket von nur 3.990,00 EUR netto zzgl. 19% USt. Wir treten hierbei im Außenverhältnis gegenüber allen Dritten, Behörden und Partnern als ihre beauftragte Kanzlei auf.

4. Paket: Gründung eines Einzelunternehmens

Sie wollen als Einzelunternehmer beruflich starten und wünschen von Anfang an rechtliche Beratung und Vertretung? Als Inhaber/in eines Einzelunternehmens entscheiden Sie allein über alle Belange des Unternehmens und tragen dafür die volle Eigenverantwortung und das gesamte unternehmerische Risiko, daher können Sie hier durchaus sehr kreativ sein was insbesondere die Höhe des Startkapitals, die unternehmerische Aufbauphase und die Höhe der Rücklagen betrifft. Es empfiehlt sich jedoch immer strukturierte finanzielle Reserven einzuplanen. Gewerbetreibende, die im Handelsregister einzutragen sind, können ihren Vor- und Nachnamen im Unternehmensnamen führen, müssen dies aber nicht. Möglich ist auch ein reiner Branchen-, Sach-, Personen oder auch Phantasiename, der nach Absprache mit der Handelskammer noch nicht belegt ist. Auch für diesen Fall bieten wir Ihnen umfassende Beratung und rechtliche Vertretung im Innen- und Außenverhältnis, von der Erstberatung über die laufende Vertretung bis zu 12 Monate und auf Wunsch darüber hinaus sowie bei allen entscheidenden individuellen Schritten, die Ihr Einzelunternehmen betreffen. Dieses Paket erhalten Sie bereits ab 2.590,00 EUR netto zzgl. 19% USt.

1st package: Establishing a GbR ("Gesellschaft bürgerlichen Rechts")

Would you like to set up a company under civil law called GbR for short? The company under civil law is a simple partnership (this means that each partner is liable with his or her private assets) and relates in particular to the association of private individuals and is therefore ideally suited for any simple form of business partnership such as this in particular for small businesses, practice groups, independent professions or working groups. Since the GbR is not subject to strict formalities the establishment process can also be carried out at short notice accompanied by our law firm. From the very first beginning of the initial consultation on the GbR contract, the business registration and the preparation of the tax registration form as well as continuous legal advice over 12 months we offer you a special and individual start-up price of 1,490.00 EUR net plus 19% VAT. 

2nd package: foundation of a UG ("Unternehmergesellschaft")

Are you interested in founding an entrepreneurial company (UG)? It is colloquially the "little sister" of the so called GmbH and can be chosen as the initial entry into a company by low start-up capital and limited liability. This is particularly suitable for small start-ups as an entry form into corporate law in order to then switch to a GmbH in the long run. It is important to know with the limited liability company that the profits may not be distributed in full. 25% of the profit must flow into a statutory reserve until the minimum share capital of 25,000 EUR has been raised. However, there is no time limit for this. If the company is not making a profit it does not have to put anything in the legal reserve. The company is free and basically has the purpose of changing its name to a "basic" GmbH, but the designation as an entrepreneurial company (limited liability) can also be retained. Right from the start we offer you the total package of 1,690.00 EUR net plus 19% VAT with initial legal advice, continuous legal advice over 12 months, the creation and choice of the articles of association, the preparation of the notary's appointment, the preparation of the tax registration form, the business registration and the answering of your legal concerns all the way there. 

3rd package: GmbH and GmbH & Co.KG foundation 

Have you decided reg. the legal form of the GmbH, limited liability company? It is one of the most common and popular company forms in Germany. The GmbH is a corporation that is suitable if the company wants to limit its own liability. An so called one-man GmbH is subject to the same requirements and criteria as the GmbH of several shareholders, a basic "normal" GmbH. The partners themselves are generally not liable with their private assets although there are exceptions here as well. They are also liable with their private assets in the case of personal loans or guarantees also in the event of violations of the strict rules governing GmbH capital and so-called direct liability, i.e. for certain claims of damages. We are happy to accompany you from the initial legal consultation, throughout the creation and execution of the articles of association, the agreement of the notary's appointment and the correspondence for tax registration and the business registration as well as the permanent legal advice and clarification for up to 12 months and flexibly beyond that for an individual total package for only 3,990.00 EUR net plus 19% VAT. 4th package: starting a sole entrepreneurship 

Do you want to start your career as a sole entrepreneur and wish legal advice and representation right from the start? As the owner of a sole proprietorship he or she decides on all issues relating to the company and bears full personal responsibility as well as the entire entrepreneurial risk so there is a lot of entrepreneurial creativity here, in particular with regard to the amount of the starting asset capital, the entrepreneurial development phase and the amount of reserves. However, it is always advisable to plan for structured financial reserves. Traders who are to be entered in the commercial register can use their first and last name as company name but do not have to. A pure industry, material, person or even imaginary name is also possible which has not yet been used on the market after consultation with the Chamber of Commerce. In this case, too, we offer you comprehensive advice and legal representation both internally and externally starting from the initial consultation to ongoing representation for up to 12 months and on request beyond that as well as for all individual steps that affect your sole entrepreneurship. This package is available for EUR 2,590.00 net plus 19% VAT.

This must always be clarified in a detailed initial consultation with our lawyer in order to inquire about your individual needs and requirements as well as framework conditions and to recommend the best possible legal variant and approach for your business.
